Draft for legal review. This initial version describes the general rules for using Agrotrace and must be reviewed by IBS before it is adopted as a definitive contractual document.

1. Purpose and acceptance

These Terms of Use (“Terms”) govern access to and use of Agrotrace, including the web platform, field app, institutional website, and other digital channels (“Services”) made available by Instituto Biosistêmico – IBS (“IBS”, “we”, “us”).

By accessing or using the Services, creating an account, or selecting an acceptance option, you (“you”, “User”) state that you have read and agree to these Terms and the Privacy Policy. If you use the Services on behalf of an organization, you state that you have authority to bind it to these Terms.

2. Eligibility and registration

You must provide truthful, complete, and current registration information and keep it accurate while using the Services. The User is responsible for protecting credentials, for all activity carried out through the account, and for immediately reporting any unauthorized use.

Registration is personal and must not be shared, assigned, or used to give access to unauthorized third parties. IBS may request additional information to validate an account or prevent fraud, always observing applicable law and the Privacy Policy.

3. Services and availability

Agrotrace provides tools to record technical visits, organize producers and properties, complete forms, store photos and attachments, synchronize information, and generate reports.

Some features may work without a connection and synchronize later, depending on the device and network conditions. Features, integrations, and limits may change to evolve or secure the Services or comply with applicable requirements. We will use reasonable efforts to keep the Services available, but do not guarantee uninterrupted or error-free operation, especially when failures involve internet access, devices, third-party services, or events beyond our control.

The Services are support tools and do not replace the User’s professional judgment. IBS does not provide agronomic, legal, accounting, medical, or other individualized professional advice through Agrotrace. Decisions based on recorded information or reports are the User’s responsibility.

4. Responsibilities and permitted use

When using the Services, you agree to:

  • comply with applicable law, these Terms, and third-party rights;
  • submit only content and data that you are authorized to use and share;
  • keep devices, credentials, and connections secure;
  • review data and reports before using or sharing them;
  • respect the technical limits and usage instructions of the Services.

You must not:

  • use the Services for an illegal, fraudulent, discriminatory, or harmful purpose;
  • violate, attempt to bypass, or exploit security controls, authentication, or access limits;
  • introduce viruses, malicious code, or any mechanism that harms the Services;
  • copy, modify, disassemble, reverse engineer, or attempt to obtain source code, except where permitted by law;
  • perform automated scraping, overload the infrastructure, or interfere with the operation of the Services;
  • use another User’s account or content without authorization.

5. User content and personal data

You retain the rights you hold in texts, images, documents, records, and other materials submitted to the Services (“User Content”). You grant IBS a limited, non-exclusive license for the period needed to host, process, transmit, display, back up, and support the operation of the Services.

You are responsible for having the authorizations and legal bases needed to collect, submit, and share User Content, including content containing data about producers, workers, customers, or third parties. The processing of personal data is governed by the Privacy Policy, which forms part of these Terms.

IBS does not sell User Content. We may use aggregated or anonymized information for security, statistics, Service improvement, and indicator production without identifying the User or third parties.

6. Intellectual property

The Services, their software, interfaces, brands, names, logos, text, layouts, databases, report templates, and other elements supplied by IBS or its licensors are protected by applicable law and remain the property of their respective owners.

We grant the User a limited, personal, non-exclusive, non-transferable, and revocable authorization to use the Services in accordance with these Terms. No intellectual property right is transferred to the User.

7. Third-party services

The Services may depend on app stores, hosting providers, maps, operating systems, communication systems, or other third-party solutions. Those services may have their own terms, policies, and limitations. IBS does not control third-party services and is not responsible for their unavailability, changes, or content under those providers’ responsibility, without prejudice to rights guaranteed by applicable law.

8. Commercial terms

When applicable, commercial terms for paid features will be presented before contracting, including price, payment method, period, renewal, and cancellation information. Features made available free of charge do not create a vested right to indefinite free access.

Nothing in these Terms limits rights that cannot be waived by contract, especially those provided by consumer protection laws when applicable.

9. Suspension and termination

IBS may suspend or terminate access, in whole or in part, when necessary to protect the Services, comply with a legal obligation, investigate fraud, or respond to a violation of these Terms. Whenever possible and appropriate, we will notify the User and allow the situation to be corrected.

You may stop using the Services and request account closure through the channels made available by IBS. Closure does not eliminate obligations that by their nature should survive, nor does it prevent data retention when required or authorized by law, as described in the Privacy Policy.

10. Limitation of liability

To the extent permitted by law, IBS will not be responsible for damage arising from improper use of the Services, inaccurate information entered by the User, network or device failures, third-party services, force majeure events, or professional decisions made by the User.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Brazilian law. The User should keep copies of data considered essential and review reports before using them.

11. Changes to these Terms

These Terms may be updated to reflect changes to the Services, the law, or IBS practices. Material changes will be communicated through a notice in the Services or by email, when appropriate. Continued use after a new version is published represents acceptance, except where the law requires a new acceptance.

12. Governing law, venue, and contact

These Terms are governed by Brazilian law, including, where applicable, the Brazilian Internet Civil Framework, the Brazilian General Data Protection Law, and the Brazilian Consumer Protection Code. The courts of the Judicial District of Piracicaba, São Paulo, Brazil, are elected as the venue, except where the law provides otherwise.

Questions, requests, and communications about these Terms may be sent to privacidade@biosistemico.com.br or to Av. Antonia Pazzinatto Sturion, 337 – Piracicaba – SP, Brazil.

13. Final provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in force. Failure to charge or immediately exercise a right does not constitute a waiver. These Terms, together with the Privacy Policy and the commercial conditions presented to the User, form the agreement applicable to use of the Services.
